These Terms of Use ("Terms") govern your access to and use of the website operated by GEMA Pathways Foundation ("GEMA Pathways," "we," "us," or "our"), a d/b/a of The Promax Foundation, a California nonprofit public benefit corporation (the "Site"). Please read them carefully.

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

2. About Us

GEMA Pathways is the philanthropic arm of the Global Entertainment Marketing Academy of Arts & Sciences (GEMA). We are a 501(c)(3) charitable organization, EIN 84-4694228, supporting education, mentorship, and career access in entertainment marketing.

3. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted, and we will revise the "Last updated" date above. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

4. Use of the Site

We grant you a limited, non-exclusive, revocable license to access and use the Site for your personal, non-commercial, informational purposes. You agree to use the Site only for lawful purposes and in accordance with these Terms.

5. Intellectual Property

The Site and all of its content, including text, graphics, logos, images, and the "GEMA Pathways" and "GEMA" names and marks, are owned by or licensed to us and are protected by intellectual-property laws. You may not copy, reproduce, distribute, modify, or create derivative works from the Site or its content without our prior written permission, except as expressly permitted by these Terms.

6. Donations

Donations made through the Site are voluntary charitable contributions and are processed by our third-party payment processor, Stripe. GEMA Pathways, a d/b/a of The Promax Foundation, is a 501(c)(3) organization, and donations are tax-deductible to the fullest extent allowed by law; we recommend you consult your tax advisor regarding your specific situation. Because donations are charitable gifts, they are generally non-refundable. If you believe a donation was made in error or processed incorrectly, please contact us using the details below and we will work with you in good faith to resolve it.

7. Prohibited Conduct

You agree not to:

• Use the Site in any way that violates applicable law or these Terms;
• Attempt to gain unauthorized access to the Site, its servers, or any related systems;
• Interfere with or disrupt the operation of the Site or the security of its users;
• Use any automated means to access, scrape, or harvest content or data from the Site without our permission; or
• Use the Site to transmit harmful, fraudulent, infringing, or unlawful material.

The Site may contain links to third-party websites and services, including our payment processor. We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party sites and services is governed by their own terms and privacy policies.

11. Indemnification

You agree to defend, indemnify, and hold harmless GEMA Pathways and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

13. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GEMA Pathways regarding your use of the Site and supersede any prior agreements on that subject.
